KORCIEL Wholesale and Retail Sales Policy

1. Wholesale and Retail Customer Definitions

We, Korciel (“we,” “our,” or “us”), value the relationships we build with our wholesale and retail customers. This Wholesale and Retail Sales Policy (“Policy”) outlines the terms and conditions that govern the purchase and resale of Korciel products, both domestically within the United Kingdom and internationally. By purchasing our products under our wholesale program, you (“you,” “your,” or “Wholesale Customer”) agree to abide by these terms, which are designed to protect our brand, support fair market competition, and ensure consistent quality and customer experience across all sales channels.

We differentiate between wholesale and retail customers to maintain clarity and uphold the integrity of our brand. Wholesale customers are businesses that purchase Korciel products for resale to end consumers, either domestically or abroad. Retail customers are individuals purchasing for personal use or consumption and are not authorized to resell our products.

2. Territorial Restrictions and Non-Competition Policy

We strictly regulate territorial sales to prevent direct competition between wholesale customers and to safeguard existing reseller relationships. When purchasing through our wholesale program, you agree not to sell, supply, or distribute Korciel products to retail stores or other wholesale entities that operate within close geographic proximity to other authorized Korciel wholesale customers or our retail outlets.

• Domestic Sales: Within the United Kingdom, wholesale customers must adhere to exclusive territorial zones assigned by Korciel. These zones are established to prevent overlapping sales territories among wholesale partners, minimizing competition between stores in the same area.
• International Sales: For international wholesale customers, similar territorial exclusivity applies. We expect wholesale partners to respect market boundaries and avoid sales or supply to distributors or retailers operating in adjacent or competing markets that may undermine existing partnerships.

3. Prohibition on Sales to Competing Stores

To maintain a healthy market environment, you agree not to supply Korciel products to stores or businesses that are direct competitors of other Korciel wholesale customers within your designated territory or internationally. This prohibition extends to any stores that are geographically adjacent or otherwise able to compete for the same customer base.

This restriction is critical to preserving the value and exclusivity of Korciel products and to avoid market saturation or price erosion caused by intra-brand competition.

4. Minimum Purchase Requirements and Pricing Guidelines

Wholesale customers are required to meet minimum order quantities and purchase volumes as established by Korciel. Furthermore, you agree to comply with our recommended retail pricing policies to ensure uniform pricing standards and avoid undercutting among resellers.

We reserve the right to modify minimum order requirements or pricing guidelines at our discretion to respond to market conditions.

5. Compliance and Authorization

We retain sole discretion to approve wholesale accounts and may conduct due diligence on your business operations. You must provide accurate and complete information during the application process and notify us of any changes to your business status or ownership.

Failure to comply with these terms or violations of territorial and resale restrictions may result in suspension or termination of your wholesale privileges without prior notice.

6. Enforcement and Remedies

Violations of this Policy, including unauthorized sales, breach of territorial limits, or resale to competing stores, will be treated seriously. Korciel reserves the right to:

• Cancel outstanding orders and refuse future sales.
• Suspend or terminate wholesale accounts.
• Pursue legal remedies to recover damages resulting from breaches of this Policy.

7. Returns and Defective Products

Wholesale customers must adhere to our separate Return Policy for defective or unsatisfactory products. Returns are subject to our approval and must follow the established procedures.

8. Governing Law and Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of England and Wales. All disputes arising out of or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts of England and Wales.
